Microsoft has offered to buy the search engine company Yahoo for $44.6bn (£22.4bn) in cash and shares.

The offer, contained in a letter to Yahoo's board, is 62% above Yahoo's closing share price on Thursday.

Yahoo cut its revenue forecasts earlier this week and said it would have to spend an additional $300m this year trying to revive the company.

It has been struggling in recent years to compete with Google, which has also been a competitor to Microsoft.

In a conference call, Microsoft's Kevin Johnson said that the combination of the two companies would create an entity that could better compete with Google.

"Today the market (for online search and advertising) is increasingly dominated by one player," he said.

Yahoo confirmed that it has received an unsolicited offer and said that its board would evaluate the proposal, "carefully and promptly in the context of Yahoo's strategic plans and pursue the best course of action to maximize long-term value for shareholders."

Its chief executive, Jerry Yang, announced on Tuesday that he intended to lay off 1,000 staff as part of a restructuring plan.

Terry Semel, who stepped down as chief executive last June, also quit as non-executive chairman on Thursday.

Microsoft said that Yahoo shareholders could choose to receive either cash or shares.

Yahoo shares have fallen 46% since reaching a year-high of $34.08 in October. They rose 54% in pre-market trading.

"Ultimately this corporate marriage was forced by the rise of Google, which has grown into a serious competitor for both Microsoft as a software company and Yahoo as an internet portal," said Tim Weber, business editor of the BBC News website.

"It is a shotgun marriage, but the person holding the shotgun is Google."

'Exorbitant premium'
According to its letter to Yahoo, Microsoft attempted to enter talks about a deal a year ago, but was rebuffed because Yahoo was confident about the "potential upside" presented by the reorganisation and operational activities that were being put in place at the time.

"A year has gone by, and the competitive situation has not improved," Microsoft's letter said.

But there has been some concern about the price that Microsoft is offering.

"To me, the premium seems exorbitant, for what is a dwindling business," said Tim Smalls from the brokerage firm Execution LLC.

"I personally don't see how the synergies of Microsoft-Yahoo is going to take on Google."

Other analysts were more enthusiastic about the offer.

"It is a fantastic offer. It is game on," said Colin Gillis from Canaccord Adams.

"This consolidates the marketplace down to Google versus Microsoft. These two companies will be going head to head."

it's been on and off since years. don't see it happen and even if it does, it won't affect things much. well, ms could turn yahoo widgets into silverlight, refurbish the concept of portals, and enhance the current interoperability between yahoo and msn (live) messengers (the feature is available but there is work to be done esp. when it comes to api).
and for those who want to know what search engines i use - yahoo as primary and clusty (for meta searches). if ms live seach uses yahoo algo for search, it could benefit much, and even beat google which already sucks @ search. (even when using the appropriate +, AND, and other keywords, google search leads to the good result on the 3rd + page instead of the first).
Anyway, don't want to go off-topic but it won't change much for users. most will follow the mass. who leads the mass is pretty much unknown since the powers that be are elusive by nature in such cases.

Ain't it a little stupid of MS to talk about plans of competing with Google right now? They might want to get over their shares and internal admin problem before launching changes that might be better competitors to Google.

i think google is out there to beat microsoft and yahoo. the war would be tight between the two of them. in my opinion for now google is the big guy

google? maybe just in the field of adverts and search. MS. has office, vs.net and sql server which IMHO beats other proprietary and open source products in the same field. As an open source advocate, I'm no fan of everything Google does (it does do some good despite being as "evil" as MS (refer to the huge amount of data present on its servers.) ) and the war is actually between products and not companies or communities.
E.g
Opera VS Mozilla VS MS VS Apple
PHP & Ruby on Rails VS ASP.NET 3.5 (for my part, I've sided to asp.net 3.5 due to the wonderful IDE of VS.NET)
Ms. Office VS Open Office VS etc
SQL Server VS MySQL VS Oracle

Note: Those wars are not actually fought by companies which just want more customers. The wars are amongst customers who want to be productive using either (or both) proprietary and open source apps.

My point is - the product features and availability of a stable platform represent the war zone. Evaluate your products before using them. Don't select a product/service because the company is "big" or due to its adoption by everybody. E.g Google Search. Try Yahoo or even Clusty. They are good and maybe they will suit your needs better than google search.

I'm not a big fan of ms products in those fields. I think they are bulky and use way too much abstraction in their stuff. And you know the consequences of too much abstraction.

mo met mo la bouche pli soye ki ena pou ms and yhoo pas reussi reach any deal avant year 2009! i need yhoo as it is right now...a question of life and death :S

you using some yahoo widgets? or the finance.yahoo.com
true though - if finance.yahoo.com turns like MSN is, I'm screwed.

@ Jevin - try VS.NET 2K8 and SQL Server 2K5 first Smile Not joking when I say - they are really good (well, I use ASP.NET 3.5 mostly these days)!

yahoo finance is currently so good - esp. its widget, and real time updates.
